Terms of Service

1. What this service is, and what it is not

Cimyah gives you a place to write guest information and publish it at a web address you can share. That is the whole of what we provide: the system.

We are not a party to your relationship with your guests. We do not host anyone, manage anyone's stay, verify anything you write, or take any position on whether your property is safe, lawful, or as described. We are software, not a hospitality operator.

2. Your content is yours, and so is the responsibility for it

This is the most important section in this document.

Everything you put into a guide — every instruction, code, description, recommendation, phone number, photograph and link — is yours. You own it, and you are entirely responsible for it.

Specifically, you are responsible for:

• The accuracy of every piece of information you publish, and for keeping it accurate as things change.
• Checking that what you publish is correct before you publish it, and correcting it promptly when it is not.
• Whether the content is appropriate, lawful, and suitable for the people who will read it.
• Any consequence of information that is wrong, missing, out of date, unclear, or misunderstood.
• Anything a guest does, or fails to do, on the strength of what your guide told them.

Compass Tech Labs LLC is not liable for any guest experience, complaint, dispute, loss, injury, or cost arising from the content of a guide — including from communication that was absent, incorrect, incomplete, or unclear. If something on your guide is wrong, that is your responsibility, not ours.

You accept that responsibility when you create an account, and it continues for as long as anything you published remains available.

3. Guides are public web pages

A published guide lives at a public address. It is unlisted and we ask search engines not to index it, but anyone holding the link can open it. Treat the link as the key it is.

You may choose to put door codes, gate codes, lock-box combinations and wi-fi passwords into a guide. If you do:

• Use a stay link when you want those details restricted to a particular guest and period. A plain guide link protects nothing.
• Understand that anyone your guest forwards the link to can see whatever that link reveals.
• Change your codes between stays if the code is what secures the property. We give you the tools to do this; whether you do it is your decision.

We encrypt credentials at rest and keep them out of the guide document itself. That is a safeguard, not a guarantee, and it cannot protect a code from a link you shared.

4. Instructions that carry physical risk

The troubleshooting features let you write instructions about the physical property — resetting a breaker, relighting a boiler, shutting off a water valve, operating appliances.

Those instructions are written by you. We do not review them, and we cannot tell whether they are safe for your property or for the person reading them. You are responsible for their accuracy and safety, and Compass Tech Labs LLC is not liable for injury, damage or loss arising from anyone following instructions published in your guide.

5. Emergency contact information

The emergency number field is pre-filled with 911, the number for the United States. If your property is anywhere else, that number is wrong and you must change it.

Publishing an incorrect emergency number is a serious matter and it is entirely your responsibility to get it right. Check it for every property, and check it again if you add a property in another country.

6. AI-generated content

Some features draft text for you using AI, from an address, a document you upload, or details you provide. That output is a starting point and nothing more.

AI-generated text can be confidently wrong. It may invent details, misdescribe your property, or produce instructions that do not apply. You must read and correct anything it produces before publishing, and once you publish it, it is your content under section 2 like anything else you wrote.

We do not send your saved door codes, gate codes or wi-fi passwords to any AI provider.

7. Recommendations about other places

Guides can list nearby restaurants, shops and attractions. Those are third-party businesses we have no relationship with and no control over.

We do not verify that a venue is open, safe, still trading, correctly described, or suitable for your guests. Opening hours change, businesses close, and quality varies. Recommending a place in your guide is your judgement, and any consequence of it is your responsibility.

8. Affiliate links and disclosure

You may include affiliate or referral links in a guide, and our guidance encourages some hosts to consider it.

If you do, you are responsible for complying with the law that applies to you — in the United States that includes the Federal Trade Commission's rules on disclosing material connections, and other countries have equivalents. Disclose clearly. Compass Tech Labs LLC is not responsible for your compliance and will not be a party to any action arising from a failure to disclose.

9. Your account and your team

You are responsible for your account, for the people you invite into it, and for everything done under it. Anyone you invite can see and change what their role allows, including door codes and guest information. Invite carefully and remove people when they no longer need access.

Sign-in is by emailed link, so the security of your account is the security of your email. Keep it protected.

You must be at least 18 and able to enter a contract. One person, one account: an email address may belong to a single account at a time.

10. Plans, payment and limits

Paid plans are billed in advance, monthly or yearly, through our payment processor. Prices are shown before you buy and may change with notice; a change never applies to a period you have already paid for.

Plans differ by how many guides and teammates they include. If your account holds more guides than your plan covers — because a plan ended, a code-granted plan expired, or you changed plan — then:

• Nothing is unpublished. Your live guides stay live and keep serving your guests, including their codes.
• Editing is paused across the account until you are back within the limit.
• You can correct door codes, gate codes and wi-fi passwords even while editing is paused, because a wrong code is a guest locked out of a building.
• You return to normal by subscribing to a plan that covers what you hold, or by deleting guides until you are within your current one.

Fees already paid are not refundable except where the law requires it. You can cancel at any time and keep access until the end of the period you have paid for.

11. What you may not do

Do not use Cimyah to publish anything unlawful, to impersonate anyone, to harass, to distribute malware, to collect other people's personal information without a lawful basis, or to attack, probe or interfere with the service or its other users.

Do not resell or white-label the service without a written agreement with us.

12. Availability

We work to keep the service running and your published guides reachable, but we do not promise uninterrupted availability. Maintenance happens, providers fail, and networks break.

Because a guide may carry information a guest needs to enter a property, do not make it the only way in. Keep a fallback — a phone number that is answered, or a code the guest already has.

13. No warranty

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any content it produces is accurate.

14. Limitation of liability

To the fullest extent permitted by law, Compass Tech Labs LLC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost bookings, lost data, reputational harm, or the cost of substitute services.

To the fullest extent permitted by law, our total liability arising out of or relating to these terms or the service, for all claims combined, is limited to the greater of one hundred United States dollars or the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

15. You cover claims arising from your guides

If someone brings a claim against us because of something you published, how you used the service, or your breach of these terms, you will defend and indemnify Compass Tech Labs LLC, its members and its personnel against that claim, including reasonable legal costs.

16. Ending the agreement

You may stop using the service and delete your account at any time. Deleting a guide takes it offline; a published address, once used, is never reissued to anyone else.

We may suspend or end an account that breaches these terms, that is used unlawfully, or where continuing would expose us or others to harm. Where it is reasonable to do so, we will tell you first.

17. Changes to these terms

We may update these terms. When the substance changes we will publish a new version and ask you to accept it the next time you sign in. Continuing to use the service after accepting a new version means the new version applies.

Each version is dated. The one you accepted, and when, is recorded on your account page.

18. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law rules. The state and federal courts located in Massachusetts have exclusive jurisdiction, and you and we each consent to that jurisdiction.

19. General

If a provision is found unenforceable, the rest stays in force. Our not enforcing something is not a waiver of it. You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of assets. These terms, together with the Privacy Policy and, where it applies, the Data Processing Agreement, are the entire agreement between us.
